Terms of service

The agreement that governs your account, plans and fees.

These Terms of Service (the “Terms”) form a binding agreement between Ledgerly, Inc. (“Ledgerly”) and the business entity that opens an account (“Customer” or “you”). By creating an account or using the Services, you confirm that you have authority to bind the Customer to these Terms.

1. The Services

Ledgerly provides software that helps businesses manage company cards, invoices, bill payments and financial reporting (the “Services”). Ledgerly is a financial technology company and not a bank. Deposit accounts are provided by our partner banks, members FDIC, and cards are issued by our partner banks under license from the card network. Your use of deposit accounts and cards is also governed by the applicable account agreement and cardholder agreement, which form part of these Terms.

2. Eligibility and accounts

The Services are available only to businesses organized in the United States, including sole proprietorships, and are not for personal, family or household use. To open an account you must provide accurate and complete information about the business and its beneficial owners and keep it up to date. We may decline any application at our discretion and as required by law.

3. Users and security

You may invite employees and contractors to use the Services as authorized users and assign them roles and permissions. You are responsible for all activity under your account, including the actions of authorized users, and for keeping login credentials confidential. You must notify us immediately at security@ledgerly.com if you suspect unauthorized access to your account.

4. Plans, fees and billing

You may choose the Core, Team or Scale plan described on our pricing page. Paid plans are billed monthly or yearly in advance and renew automatically until canceled. Fees are charged to your Ledgerly account balance or another payment method on file. Transaction fees, such as fees for international card purchases, outgoing wires and card payments received on invoices, are listed on our pricing page and in your account. We may change our fees with at least 30 days’ notice. Refunds are governed by our Billing and Refund Policy.

5. Acceptable use

You agree to use the Services only for lawful business purposes and in accordance with our Acceptable Use Policy. You will not use the Services to process transactions for prohibited businesses, to evade sanctions or to engage in fraud, and you will not interfere with or reverse engineer the Services.

6. Your data

As between you and Ledgerly, you own the data you submit to the Services (“Customer Data”). You grant Ledgerly a limited license to use Customer Data to provide, secure and improve the Services and to comply with law. Our Privacy Policy and, where applicable, our Data Processing Addendum describe how we handle personal information within Customer Data.

7. Third-party integrations

The Services can connect to third-party products, such as accounting, payroll and payment software. Your use of those products is governed by their own terms. Ledgerly is not responsible for third-party products and may stop supporting an integration if the provider changes or ends it.

8. Intellectual property

Ledgerly and its licensors own all rights in the Services, including software, designs and trademarks. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Services during your subscription for your internal business purposes. If you send us feedback, we may use it without obligation to you.

9. Suspension and termination

You may close your account at any time from your account settings or by contacting support. We may suspend or close your account, with notice where permitted, if you breach these Terms, if we are required to do so by law or by our partner banks, or if we reasonably believe your account presents a risk of fraud or loss. On closure, we will return any remaining balance after deducting amounts you owe, subject to applicable law.

10. Disclaimers

Except as expressly stated in these Terms, the Services are provided “as is” and “as available.” Ledgerly disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Reports and forecasts produced by the Services are tools to support your decisions and are not financial, tax or legal advice.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues. Ledgerly’s total liability arising out of these Terms in any twelve-month period will not exceed the fees you paid to Ledgerly in that period. These limits do not apply to fraud, willful misconduct or your payment obligations.

12. Indemnification

You will defend and indemnify Ledgerly against third-party claims arising from your violation of these Terms, your use of the Services in breach of law, or transactions you or your authorized users initiate.

13. Disputes and governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be resolved as described in our Complaints and Dispute Resolution Policy, which includes binding individual arbitration administered by the American Arbitration Association in New York.

14. Changes to these Terms

We may update these Terms from time to time. We will give account owners at least 30 days’ notice by email of any material change. Continuing to use the Services after a change takes effect means you accept the updated Terms.

15. General

These Terms, together with the documents they reference, are the entire agreement between the parties regarding the Services. If any provision is unenforceable, the rest remain in effect. You may not assign these Terms without our consent. Notices to Ledgerly should be sent to legal@ledgerly.com or Ledgerly, Inc., 148 Lafayette Street, 6th Floor, New York, NY 10013.
